TrueMove Terms of Service Agreement

Introduction: Our Agreement

Welcome to TrueMove, a community operated by GIVIOO TECHCRAFTERS LLC ("we," "us," "our," or "TrueMove"). We are built on the principle of Intent over Impressions, creating a space for genuine connections.

These Terms of Service ("Terms") form a legally binding agreement between you ("you," "user," or "member") and TrueMove. This agreement governs your access to and use of the TrueMove mobile application, our websites, and all related services (collectively, the "Services").

By creating a TrueMove account or by using our Services, you accept and agree to be bound by:

Important: If you do not accept and agree to be bound by all of the terms of this Agreement, you are not permitted to use our Services.

Key Provisions: Please be aware of two critical components of this agreement.

  1. Gifting Quiz: As our platform's core feature is thoughtful gift-giving, you will be required to complete a short, mandatory quiz on our gifting rules before you can send or receive your first gift.
  2. Dispute Resolution: Please carefully review the dispute resolution provisions in Section 13. These govern how disputes are handled and include an arbitration agreement and a waiver of your right to participate in a class-action lawsuit.

1. Acceptance of the Terms of Service Agreement

Summary: This is your contract with us. It may be updated, and your continued use of TrueMove means you accept any changes.

This Agreement is an electronic contract that establishes the legally binding terms you must accept to use the Service. This Agreement includes our Privacy Policy, Community Charter, and E-commerce & Gifting Policy, all of which are incorporated by reference.

From time to time, we may make changes to this Agreement. We will notify you of any material changes by posting them in the app or by other means, such as email, to provide you with an opportunity to review the changes before they become effective. Your continued use of our Services after the changes become effective constitutes your acceptance of the revised Agreement.

2. Eligibility

Summary: You must be at least 18, live in the US, and be legally able to use our app. By creating an account, you promise that you meet these requirements.

You must meet the following requirements to create an account and use TrueMove:

  • You must be at least 18 years of age.
  • You must be legally qualified to enter into a binding contract with TrueMove.
  • You must be located in the United States. Our Services are not intended for use outside of the United States at this time.
  • You are not a person who is barred from using the Service under the laws of the United States or any other applicable jurisdiction.
  • You have never been convicted of or pled no contest to a felony, a sex crime, or any crime involving violence, and you are not required to register as a sex offender with any state, federal, or local sex offender registry.
  • You have not been previously removed from our Services by us, unless you have our express written permission to create a new account.
  • You will only have one TrueMove account at any given time.

By creating an account, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of its terms and conditions.

3. Your Account

Summary: You are responsible for your account and its security. Let us know immediately if you think someone has used your account without permission.

To use TrueMove, you must create an account using your email address and verify it with a valid U.S. phone number. You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities that occur under your account. You agree to immediately notify us at support@truemove.app of any unauthorized use, or suspected unauthorized use, of your account or any other breach of security.

4. Service Modification and Termination

Summary: We may change or stop the service. You can delete your account at any time. We can terminate your account if you violate the rules.

TrueMove is always striving to improve the Service. This means we may add new product features or enhancements from time to time as well as remove some features. If these actions do not materially affect your rights or obligations, we may not provide you with notice before taking them. We may even suspend the Service entirely, in which event we will notify you in advance unless extenuating circumstances, such as safety or security concerns, prevent us from doing so.

You may terminate your account at any time, for any reason, by following the instructions in the "Settings" section of the app.

We may terminate or suspend your account at any time without notice if we believe that you have violated this Agreement, misused the Services, or behaved in a way we deem inappropriate or unlawful. Upon such termination, you will not be entitled to any refund for purchases. If your account is terminated, this Agreement will remain in effect and enforceable.

5. Safety; Your Interactions with Other Users

Summary: You are responsible for your interactions with other users. We do not conduct criminal background checks. Be cautious and follow our safety tips.

Though we strive to encourage a respectful user experience, TrueMove is not responsible for the conduct of any user on or off of the Service. You agree to use caution in all interactions with other users, particularly if you decide to communicate off the Service or meet in person. Please review our Community Charter and its Safety Tips before using the Service.

YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. YOU UNDERSTAND THAT TRUEMOVE DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON ITS USERS OR OTHERWISE INQUIRE INTO THE BACKGROUND OF ITS USERS. TRUEMOVE MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT, IDENTITY, INTENTIONS, LEGITIMACY, OR VERACITY OF USERS.

6. Rights TrueMove Grants You

Summary: We give you a license to use TrueMove for its intended purpose: forming genuine connections.

TrueMove grants you a personal, worldwide, royalty-free, non-assignable, non-exclusive, revocable, and non-sublicensable license to access and use the Service. This license is for the sole purpose of letting you use and enjoy the Service's benefits as intended by TrueMove and permitted by this Agreement. This license and any authorization to access the Service are automatically revoked in the event that you fail to comply with this Agreement.

7. Rights You Grant TrueMove

Summary: You own your content, but you grant us a license to use it to operate, improve, and provide the Service. You also grant us the right to use your feedback.

By creating an account, you grant to TrueMove a worldwide, transferable, sub-licensable, royalty-free right and license to host, store, use, copy, display, reproduce, adapt, edit, publish, modify, and distribute information you authorize us to access, as well as any information you post, upload, display or otherwise make available (collectively, "post") on the Service or transmit to other users (collectively, "Content").

Our license to your Content is subject to your rights under applicable law (for example, laws regarding personal data protection to the extent any Content contains personal information as defined by those laws) and is for the limited purpose of operating, developing, providing, and improving the Service and researching and developing new ones. You agree that any Content you place or that you authorize us to place on the Service may be viewed by other users and by any person visiting or participating in the Service.

You agree that any feedback, suggestions, ideas, or other information regarding the Service ("Feedback") that you provide is non-confidential and you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and publish such Feedback for any purpose, without compensation to you.

8. Content and Community Rules

Summary: You are responsible for what you post. Follow our Community Charter. Do not use TrueMove to do anything illegal, harmful, or commercial.

While using our Services, you will access: (i) content you provide ("Your Content"); (ii) content other users provide ("Member Content"); and (iii) content TrueMove provides ("Our Content").

You are solely responsible and liable for Your Content. You must own the rights to everything you post. By using the Service, you agree that you will not post any Content that is illegal or prohibited by this Agreement. Specifically, you agree you will not:

  • Violate our Community Charter, as updated from time to time.
  • Spam, solicit money from, or defraud any users.
  • Impersonate any person or entity or post any images of another person without their permission.
  • Bully, "stalk," intimidate, assault, harass, mistreat, or defame any person.
  • Post any Content that constitutes hate speech or is threatening, sexually explicit, or pornographic.
  • Use the Service for any commercial purposes outside of the sanctioned E-commerce and Gifting features. This includes soliciting funds or promoting other businesses, websites, or services.
  • Use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, "data mine," or in any way reproduce or circumvent the navigational structure or presentation of the Service or its contents.

9. E-commerce: Purchases & Gifting

Summary: All purchases and gifts are governed by our detailed E-commerce & Gifting Policy. There are no subscriptions. We use a secure authorize-and-capture system for gifts.

TrueMove offers a unique platform for making connections through thoughtful gift-giving and an integrated e-commerce store. All commercial activity on our platform is governed by our E-commerce & Gifting Policy. Key terms include:

  • General: Sending a gift is a voluntary action to express genuine interest. You may also purchase items from our store for yourself. There are no subscription fees for using TrueMove.
  • Payment & Billing: When you send a gift request, we place a temporary authorization hold on your payment method. We only capture the final payment if and when the recipient accepts and confirms the gift for shipment. For direct purchases for yourself, payment is captured immediately. All payments are processed by our secure third-party payment processors.
  • Recipient's Choice: A recipient of a gift has the absolute right to accept the gift, customize it (e.g., change size or color), swap it for an item of equal or lesser value, or decline it entirely, as detailed in the E-commerce & Gifting Policy.
  • Refunds: All purchases are final and non-refundable except as explicitly stated in our E-commerce & Gifting Policy. Generally, products that arrive damaged or are incorrect are eligible for a replacement, not a monetary refund. Direct purchases may be returned under specific conditions.
  • Chargebacks: You agree to contact TrueMove Support at support@truemove.app to resolve any billing issue before initiating a chargeback. Initiating a chargeback with your financial institution without first contacting us is a violation of this Agreement and may result in immediate account termination.

10. Copyright Infringement Claims (DMCA)

Summary: If you believe your copyrighted work is on TrueMove without permission, follow these instructions to notify us.

If you believe that your work has been copied and posted on the Service in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information:

  • An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
  • A description of the copyrighted work that you claim has been infringed;
  • A description of where the material that you claim is infringing is located on the Service (and such description must be reasonably sufficient to enable us to find the alleged infringing material);
  • Your address, telephone number, and email address;
  • A written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
  • A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Notice of claims of copyright infringement should be provided to our Copyright Agent via email at support@truemove.app.

11. Disclaimers

Summary: We provide the service "as is." We can't make any guarantees about the service or your experience.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE EXTENT PERMITTED BY APPLICABLE LAW, TRUEMOVE GRANTS NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE WITH RESPECT TO THE SERVICE (INCLUDING ALL CONTENT CONTAINED THEREIN). THIS INCLUDES, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TRUEMOVE DOES NOT REPRESENT OR WARRANT THAT (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, (B) ANY DEFECTS OR ERRORS IN THE SERVICE WILL BE CORRECTED, OR (C) THAT ANY CONTENT OR INFORMATION YOU OBTAIN ON OR THROUGH THE SERVICE WILL BE ACCURATE.

12. Limitation of Liability

Summary: Our liability to you is limited to the greatest extent allowed by law.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TRUEMOVE, ITS AFFILIATES, EMPLOYEES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. IN NO EVENT SHALL TRUEMOVE'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT PAID, IF ANY, BY YOU TO TRUEMOVE FOR PRODUCTS PURCHASED THROUGH THE SERVICES IN THE 24-MONTH PERIOD IMMEDIATELY PRECEDING THE DATE THAT YOU FIRST FILE A LAWSUIT, ARBITRATION OR ANY OTHER LEGAL PROCEEDING.

13. Dispute Resolution, Arbitration, and Class-Action Waiver

Summary: This is a critical section. Any legal dispute will be handled through an informal process first, then through binding individual arbitration, not in court. You are also waiving your right to participate in a class-action lawsuit.

13a. Informal Dispute Resolution Process

If you have a dispute with TrueMove, you agree to first send a detailed notice of your dispute to support@truemove.app. We will then attempt to resolve the dispute with you through good-faith negotiation. This informal process is a mandatory condition that must be met before you can initiate arbitration.

13b. Arbitration Agreement

If the dispute is not resolved informally, the exclusive means of resolving any dispute or claim arising out of or relating to this Agreement shall be BINDING ARBITRATION administered by a neutral arbitrator. The one exception to the exclusivity of arbitration is that you have the right to bring an individual claim against TrueMove in a small-claims court of competent jurisdiction. Your rights will be determined by a NEUTRAL ARBITRATOR, NOT A JUDGE OR JURY, and the arbitrator shall determine all issues regarding the arbitrability of the dispute. The arbitration shall be conducted in accordance with the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.

A party who desires to initiate arbitration must provide the other party with a written Demand for Arbitration. The Demand must be sent to our registered agent at: GIVIOO TECHCRAFTERS LLC, 30 N Gould St Ste 4000, Sheridan, WY 82801, USA.

13c. Class Action and Jury Trial Waiver

BY USING THE SERVICE IN ANY MANNER, YOU AGREE TO THE ABOVE ARBITRATION AGREEMENT. IN DOING SO, YOU GIVE UP YOUR RIGHT TO GO TO COURT to assert or defend any claims between you and TrueMove (except for matters that may be taken to small-claims court). YOU ALSO GIVE UP YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR OTHER CLASS PROCEEDING. All claims must be brought in your individual capacity, not as a plaintiff or class member in any purported class, collective, or representative proceeding.

14. Governing Law

Summary: Wyoming law governs this agreement. Legal proceedings that aren't arbitrated will take place in Wyoming.

The laws of the State of Wyoming, U.S.A., without regard to its conflict of laws rules, shall apply to any disputes arising out of or relating to this Agreement, the Service, or your relationship with TrueMove. The Federal Arbitration Act will govern the interpretation and enforcement of Section 13. Any claims that are not subject to arbitration shall be litigated exclusively in the federal or state courts located in Wyoming, U.S.A.

15. Indemnity by You

Summary: If we get sued because of something you did, you agree to cover our costs.

You agree, to the extent permitted under applicable law, to indemnify, defend, and hold harmless TrueMove, our affiliates, and their and our respective officers, directors, agents, and employees from and against any and all complaints, demands, claims, damages, losses, costs, liabilities, and expenses, including attorney's fees, due to, arising out of, or relating in any way to your access to or use of the Service, your Content, or your breach of this Agreement.

16. Entire Agreement; Other

Summary: This document, along with the other policies it references, is the full and final agreement between you and TrueMove.

This Agreement, along with the Privacy Policy, Community Charter, and E-commerce & Gifting Policy, contains the entire agreement between you and TrueMove regarding the use of the Service. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. The failure of TrueMove to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. You may not assign this Agreement or any of the rights granted hereunder.
